Terms of Service

These Terms of Service ("Terms") govern your use of GenCatalog, a desktop application and browser extension developed and operated by Second Act Labs ("we", "us", "our"). By purchasing, installing, or using GenCatalog, you agree to these Terms.
1. License Grant
For new customers, an active annual subscription grants a non-exclusive, non-transferable license to one individual for personal or commercial work on up to three devices they personally control. The license and license key may not be shared with another person.
After the first successful payment, your right to open and manage everything already in your GenCatalog library is permanent. Canceling or allowing the subscription to lapse can pause new capture, imports, scans, and other ways of adding new work after the current paid period ends, but it does not remove access to work already in your library.
Customers who purchased GenCatalog before the subscription transition keep the perpetual access and update rights included with their original purchase. They are not required to subscribe.
2. What GenCatalog Does
GenCatalog is a local media management tool that helps you organize AI-generated images and videos. It includes:
- A macOS desktop application that runs a local catalog server
- A Chrome browser extension for saving content from supported AI platforms (Grok, Gemini, GPT Image, Rogue Studio, Midjourney, Higgsfield, Digen, and Venice chats)
All media files are stored locally on your computer or external storage. GenCatalog does not upload, host, or transmit your media to any third-party servers.
You retain all ownership and other rights you hold in the files, prompts, metadata, tags, notes, and other creative material in your catalog. These Terms do not transfer that work to Second Act Labs.
3. Acceptable Use
You agree to use GenCatalog only for lawful purposes. You are solely responsible for the content you save and organize using the software. You may not:
- Redistribute, resell, sublicense, or share your license key
- Reverse engineer, decompile, or modify the software
- Use the software to violate the terms of service of any third-party platform
- Use the software for any illegal activity
4. Third-Party Platforms
GenCatalog integrates with third-party AI platforms including but not limited to Grok/xAI, Google Gemini, ChatGPT/GPT Image, Rogue Studio, Midjourney, Higgsfield, Digen, and Venice.ai. We are not affiliated with, endorsed by, or partnered with any of these platforms. GenCatalog's capture functionality depends entirely on the publicly available interfaces of these platforms. These platforms may, at any time and without notice, modify their interfaces, APIs, authentication mechanisms, or terms of service in ways that partially or completely disable GenCatalog's ability to capture content from them. Such changes may result in temporary or permanent loss of support for one or more platforms. We are under no obligation to restore functionality affected by third-party platform changes, though we will make reasonable efforts to do so when feasible. Your purchase of GenCatalog does not guarantee ongoing compatibility with any specific third-party platform.
5. Payment & Licensing
GenCatalog is offered to new customers for $99 per year, billed annually through Lemon Squeezy, our Merchant of Record. Applicable taxes may be added at checkout. The subscription renews automatically each year until canceled. You can cancel through the Lemon Squeezy Customer Portal, use the subscription-management link in your receipt, or contact support for help.
Canceling stops future billing but does not end the current paid period early. New capture and other ways of adding work continue through the paid-through date shown in GenCatalog and then pause unless the subscription is renewed. Renewal restores new acquisition without changing the existing library.
Your license key is delivered by email after purchase. Initial activation and periodic entitlement verification require an internet connection. A short verification-service interruption does not immediately interrupt a current subscription. If verification remains unavailable for longer, your existing library stays manageable while new capture and imports wait until the subscription can be verified again.
6. Updates
Current desktop and Chrome extension releases remain available to legitimate paid customers, including customers whose annual subscription has ended. A current subscription funds the ongoing product work that keeps new capture and acquisition working as platforms evolve; the commercial entitlement controls adding new work, not existing-library features or possession of a particular installer version.
We may release updates at our discretion to fix bugs, improve performance, add features, or respond to platform and operating-system changes. Third-party platform support can change as described in Section 4.
7. Disclaimer of Warranties
GenCatalog is provided "as is" without warranty of any kind, express or implied. We do not guarantee that the software will be error-free, uninterrupted, or compatible with all systems or third-party platforms. Third-party platform changes may affect functionality at any time. Without limiting the foregoing, we make no warranty that GenCatalog will maintain compatibility with any third-party platform, that capture functionality will remain operational for any specific platform, or that updates restoring affected functionality will be provided within any particular timeframe.
8. Limitation of Liability
To the maximum extent permitted by law, Second Act Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of GenCatalog. Second Act Labs shall not be liable for any loss of functionality, data capture capability, or workflow disruption caused by changes made by third-party platforms to their services, APIs, or interfaces. Our total liability shall not exceed the amount you paid for the software.
9. Termination
You may stop using GenCatalog or cancel an annual subscription at any time. We may suspend new acquisition or support if a license is shared, resold, obtained fraudulently, or used in material violation of these Terms. GenCatalog does not claim ownership of your creative work, delete your local files, or erase an authentic paid customer's permanent ability to manage material already in the catalog.
10. Changes to Terms
We may update these Terms from time to time. Continued use of GenCatalog after changes constitutes acceptance of the new Terms. We will make reasonable efforts to notify users of significant changes.
11. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of the state in which Second Act Labs operates.
